Please read these Terms & Conditions carefully before using this service.

Definitions

For purposes of these Terms and Conditions:

  • PlanniX: a SaaS platform intended for professionals and businesses to manage social media presence, which may include (depending on the subscribed Plan) social account connection, content planning/scheduling, publishing, analytics, inbox/message management, reporting, and SmartLinks, accessible through PlanniX’s website and/or applications (if available).

  • Provider: the legal entity that owns and operates PlanniX (“PlanniX”, “we”, “us”, “our”).

  • Administrator / User: a professional or business user who uses PlanniX to manage their own social accounts and/or third-party accounts (clients).

  • Brand / Workspace: a container inside PlanniX that groups connected social accounts, content, assets, analytics, team members, settings, and related data.

  • Third-Party Platforms: social networks and other providers integrated via API (e.g., Meta/Facebook/Instagram/Threads, TikTok, YouTube, LinkedIn, X, Pinterest, Google, etc.).

  • Plan: the subscription tier (Free or Paid) that defines available features, limits, and pricing.

  • Content: any text, images, video, links, or other material uploaded, scheduled, or published through PlanniX.

2. Purpose of the Agreement

PlanniX provides a freemium service model, offering a free basic Plan and paid Plans with additional or advanced features.

Plan details (features, limits, prices) are made available on PlanniX’s pricing page and/or inside the application.

Depending on your Plan and Third-Party Platform availability, PlanniX may allow you to:

  • Connect social accounts and manage multiple Brands/Workspaces.

  • Plan, schedule, and (where permitted) automatically publish Content.

  • View performance analytics and generate reports.

  • Manage messages/comments where Third-Party APIs allow.

  • Create SmartLinks with click analytics.


3. Eligibility, Account Registration, and Accuracy of Information

By creating an account and accepting these Terms, you represent that:

  • You are of legal age and have authority to enter into these Terms on your own behalf or on behalf of a company.

  • You will provide accurate, complete, and up-to-date information.

You are responsible for:

  • Maintaining the confidentiality of your credentials.

  • All activity that occurs under your account.

  • Notifying PlanniX promptly if you suspect unauthorized access.

PlanniX may restrict or terminate accounts created using false information or used for fraudulent purposes.


4. Third-Party Platform Integrations (API Limitations)

PlanniX integrates Third-Party Platforms via APIs. Therefore:

  1. Feature availability varies by platform, account type, region, API restrictions, and the permissions you grant.

  2. No guarantee of permanence: Third-Party Platforms may change, restrict, or discontinue API access at any time.

  3. Publishing limitations: Some platforms do not allow publishing for certain content types or account types. Where auto-publishing is not available, PlanniX may offer manual workflows, reminders, or “needs manual” statuses.

  4. Permissions: By connecting an account, you authorize PlanniX to access and perform actions strictly necessary to provide the service, based on the permissions you grant during the connection process.

  5. Tokens: Access tokens and credentials are stored using reasonable security measures, including encryption where applicable.

PlanniX is not responsible for changes made by Third-Party Platforms that affect functionality.


5. Acceptable Use and Fair Use (Anti-Spam)

You agree not to use PlanniX to:

  • Post repetitive or automated spam, or otherwise abuse scheduling/publishing.

  • Publish or promote illegal content, hate speech, violence, terrorism, exploitation, or content that violates human rights.

  • Infringe intellectual property, privacy, or other rights of third parties.

  • Violate the terms/policies of any Third-Party Platform.

Even where a Plan advertises “unlimited” actions, usage may be subject to:

  • Reasonable fair use rules,

  • Technical capacity,

  • Third-Party API limits, and

  • Platform anti-spam policies.

PlanniX may temporarily restrict or suspend posting, integrations, or access if abuse, security risks, or policy violations are detected.


6. Plans, Billing, Payments (Stripe), and Taxes

Paid Plans are billed through Stripe (subscription billing monthly or annually). By subscribing, you authorize PlanniX (via Stripe) to charge your chosen payment method.

  • Automatic renewal: subscriptions renew automatically unless cancelled before renewal.

  • Failed payments: access may be limited or suspended until payment is resolved.

  • Taxes: applicable taxes may be added depending on your billing location and legal requirements.

  • Plan changes:

    • Upgrades may be prorated.

    • Downgrades generally take effect at the next billing cycle.

  • Refunds: PlanniX does not offer refunds for partially used billing periods unless required by law or expressly stated in writing.

Invoices/receipts may be provided electronically.


7. Cancellation, Termination, and Account Deletion

You may cancel your subscription at any time from your account settings. Unless required otherwise by law:

  • You will retain access to paid features until the end of the current billing period.

  • No refunds are provided for the remaining time in the billing period.

PlanniX may suspend or terminate your account if:

  • You breach these Terms,

  • You engage in fraud or abusive behavior,

  • Payments are overdue, or

  • Your use creates a security or operational risk.

Account deletion: If you delete your account, PlanniX will delete or anonymize data as described in the Privacy Policy, subject to lawful retention obligations (e.g., billing records, security logs, dispute handling).


8. Support

Support channels may include:

Support levels and response times may vary by Plan.


9. License and Restrictions

PlanniX grants you a limited, non-exclusive, non-transferable, revocable license to use the platform during your subscription term.

You may not:

  • Reverse engineer, decompile, or attempt to extract source code.

  • Use scraping, automated extraction, or unauthorized data harvesting.

  • Bypass security controls or access data outside your authorized Brand/Workspace.

  • Resell, sublicense, or provide PlanniX as a service to third parties unless explicitly permitted by your Plan.


10. Intellectual Property

PlanniX and all related software, trademarks, UI, branding, and platform content are owned by the Provider and protected by intellectual property laws.

You retain ownership of your Content. You grant PlanniX a limited license to host, process, display, and transmit your Content solely to provide and improve the service (including publishing, analytics, reporting, and collaboration features), consistent with the Privacy Policy.


11. Privacy and Data Processing

PlanniX processes personal data according to its Privacy Policy.

If you manage third-party client accounts, you are responsible for:

  • Having the authority and consents required to connect those accounts and process any related data.

  • Complying with applicable privacy and marketing laws (opt-in, permissions, disclosures, etc.).


12. Availability and Disclaimer

PlanniX aims for high availability but does not guarantee uninterrupted access. Service interruptions may occur due to maintenance, system issues, or Third-Party Platform outages.

To the maximum extent permitted by law, PlanniX is not liable for:

  • Third-Party Platform API changes or restrictions,

  • Indirect or consequential damages (lost profits, lost data, reputational harm),

  • User configuration mistakes, content decisions, or permissions granted.


13. Changes to These Terms

We may modify these Terms to reflect legal, technical, or operational changes. If changes are material, we will provide reasonable notice via the platform or email. Continued use of PlanniX after the effective date constitutes acceptance.


14. Governing Law and Jurisdiction

These Terms are governed by the laws of United States, without regard to conflict of law rules.

Any disputes shall be resolved in the courts of United States, unless mandatory law provides otherwise.
